About Nicholas dePencier Wright
Nicholas dePencier Wright is principal counsel at Wright Business Law, where he advises clients across Canada on securities law, private fund formation, and exempt market transactions.
Practising since 2009, Nick focuses on the formation and operation of private investment funds and exempt market compliance. He advises fund sponsors, real estate platforms, private issuers, and registrants on structuring, offering documents, capital raising, and ongoing regulatory obligations. His work spans the full lifecycle of private capital, from initial fund formation and exempt offerings through to fund operations, governance, and ongoing compliance.
Nick regularly acts on the establishment of private funds structured as limited partnerships, mutual fund trusts, real estate investment trusts, and mortgage investment corporations. He also advises on offering memoranda and private placements under NI 45-106, registrant compliance under NI 31-103, and cross-border offerings involving U.S. investors.
Nick is licensed to practise law in Ontario and Texas, and is admitted in California (inactive). He holds a J.D. and MBA from Dalhousie University, an LL.M. (Taxation) from Osgoode Hall Law School, a B.A. (Honours) in Philosophy from King’s College, Halifax, and a Diploma in Trusts and Estates from the Society of Trust and Estate Practitioners (STEP).
